________國________________市____外貿(mào)公司（下稱外貿(mào)公司）與____國______________市公司（下稱公司）簽定本合同如下：

第一條合同標的和價格

________外貿(mào)公司在____國界車上交貨條件下按本合同附件1向________公司提供商品。商品以美元計價,，系____國界車上交貨價，包括包皮,、包裝和標記的費用,。

根據(jù)附件1由________國向____國供貨的總值為________美元,。

第二條供貨期

第三條結算

第四條包裝

第五條商品的品質和保證

所供商品的品質應由品質證明書加以確認,，該證書確認商品品質符合生產(chǎn)國的技術條件和國家標準。

所供商品的品質性能應與標準樣品相一致,，標準樣品在簽定合同時交給買方，在保證期內(nèi)留存買方并在對供貨品質發(fā)生爭議的情況下供雙方使用,。

保證期為供貨后9個月。

第六條索賠

購方可按________________（兩國貿(mào)易文件或協(xié)定）所規(guī)定的期限和程序在下列方面提出索賠,。

1.貨物的數(shù)量

如貨物數(shù)量與明細單注明的數(shù)量不符，在包裝完整和沒有外部損傷（內(nèi)????????短缺）的情況下,，購方有權憑檢驗證書提出索賠,。

2.貨物的質量

如售方所供貨物的品質,，不符合合同規(guī)定的技術條件或與雙方確認的樣品不符時，購方有權要求售方或者削價,、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定,，或不同意檢驗證書中確定的削價百分比時,，則購方有權將品質不合格的貨物按售方提供的地址退給售方,。售方應在本合同規(guī)定的異議審理期限內(nèi)將退貨地址通知購方。

如果在每批貨物中發(fā)現(xiàn)殘次品占20％以上,，收貨人則將退回全部貨物。由于質量原因退回貨物時所產(chǎn)生的全部費用由售方承擔,。

第七條不可抗力條款

第八條仲裁

13.裝運條款：

15.質量保證：

17.索賠

claims:

如經(jīng)中國_____檢驗機構復檢，發(fā)現(xiàn)貨物有損壞,、殘缺或品名,、規(guī)格,、數(shù)量及質量與本合同及質量保證書之規(guī)定不符，買方可于貨到目的港后 天內(nèi)憑上述檢驗機構出具的證明書向賣方要求索賠,。如上述規(guī)定之索賠期與質量保證期不一致，在質量保證期限內(nèi)買方仍可向賣方就質量保證條款之內(nèi)容向賣方提出索賠,。

18.延期交貨違約金

late delivery and penalty

除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨,，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金,。違約金總值不超過貨物總價值的5%,，差率按7天0.5%計算,，不滿7天仍按7天計算。在未采用信用證支付的情況下,，賣方應將前述方法計算的違約金即付買方,。

if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
